Intelligence Terms of Service

1. Acceptance of Terms

By accessing or using CarrierBook Intelligence ("Intelligence" or "Service"), you agree to be bound by these Intelligence Terms of Service ("Intelligence Terms"). These Intelligence Terms supplement our general Terms of Service, which also apply to your use of Intelligence. Where these Intelligence Terms conflict with the general Terms, these Intelligence Terms control with respect to Intelligence features.

2. Description of Service

CarrierBook Intelligence provides carrier risk assessment and monitoring tools designed for premium finance companies, insurance professionals, and other businesses that evaluate motor carriers. The Service includes:

  • Carrier risk assessments using publicly available FMCSA and DOT data
  • Configurable risk scoring models with adjustable weights and thresholds
  • AI-generated analysis summaries and downloadable PDF reports
  • Portfolio watchlist monitoring with automated change detection and alerts
  • Credit-based pricing for on-demand carrier assessments

3. Data Sources and Accuracy

Intelligence aggregates and analyzes data from multiple public government sources, including but not limited to:

  • Federal Motor Carrier Safety Administration (FMCSA) carrier records
  • U.S. Department of Transportation Socrata open data portal (insurance history, safety data, inspections, crashes, authority records)
  • FMCSA Safety Measurement System (SMS) scores

We do not guarantee the accuracy, completeness, timeliness, or reliability of any data presented through Intelligence. Data may be delayed, incomplete, or contain errors originating from the source agencies. FMCSA and DOT databases are updated on their own schedules, and there may be a lag between real-world events and their appearance in our system. You should independently verify all information before making any business, financial, or legal decisions.

4. No Financial or Professional Advice

Intelligence is an informational tool. Nothing provided through the Service constitutes:

  • Financial, investment, or lending advice
  • Insurance underwriting or actuarial guidance
  • Legal or regulatory compliance advice
  • A credit report or consumer report under the Fair Credit Reporting Act (FCRA) or any similar law

CarrierBook is not a credit reporting agency, insurance company, financial institution, or licensed professional advisor. Risk scores, tier classifications, recommendations, and all other outputs are generated algorithmically from public data and are intended to supplement — not replace — your own professional judgment and due diligence.

5. Limitation of Liability for Decisions

YOU ACKNOWLEDGE AND AGREE THAT CARRIERBOOK SHALL NOT BE LIABLE FOR ANY LENDING, FINANCING, INSURANCE, UNDERWRITING, OR OTHER BUSINESS DECISIONS YOU MAKE BASED ON INFORMATION PROVIDED THROUGH INTELLIGENCE. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF THE SERVICE AND ANY DECISIONS INFORMED BY IT. RISK SCORES AND ASSESSMENTS DO NOT PREDICT OR GUARANTEE ACTUAL CARRIER BEHAVIOR, FINANCIAL SOLVENCY, SAFETY PERFORMANCE, OR LIKELIHOOD OF DEFAULT ON ANY OBLIGATION.

6. AI-Generated Content

Intelligence uses artificial intelligence to generate narrative analysis summaries of carrier assessments. You acknowledge that:

  • AI-generated summaries may contain inaccuracies, omissions, or misinterpretations of underlying data
  • AI outputs should be reviewed by qualified professionals before being relied upon
  • AI-generated content is not a substitute for human analysis and professional judgment
  • The quality and accuracy of AI outputs may vary and are not guaranteed

7. Credits and Payments

Intelligence uses a credit-based pricing model:

  • Each new carrier assessment consumes one (1) credit
  • Refreshing an assessment with fresh data within 90 days of the last refresh does not consume a credit
  • Re-scoring a previously assessed carrier with different risk model settings does not consume credits
  • Credits are purchased in packs and are non-refundable once purchased
  • Credits do not expire
  • Portfolio watchlist monitoring is included at no additional credit cost

All payments are processed through our third-party payment processor. By purchasing credits, you agree to provide valid payment information and authorize the charges. Pricing is subject to change with reasonable notice.

8. Risk Model Configuration

Intelligence allows you to customize risk model weights, thresholds, and auto-decline rules. While we provide default configurations, we make no representation that these defaults are suitable for your specific business needs, risk tolerance, or regulatory requirements. You are solely responsible for configuring risk models appropriate to your use case and for validating that model outputs align with your professional standards and internal policies.

9. Watchlist Monitoring

Intelligence provides automated weekly monitoring of carriers on your watchlist. You acknowledge that:

  • Alerts are informational only and do not constitute advice or a recommendation to take action
  • Detection of changes depends on the availability and timeliness of underlying data sources
  • The absence of an alert does not guarantee that no changes have occurred
  • Monitoring frequency and alert types may be modified at our discretion

10. Acceptable Use

In addition to the acceptable use provisions in our general Terms, you agree not to:

  • Redistribute, resell, or white-label Intelligence assessments or reports as your own product or service
  • Use Intelligence outputs to unlawfully discriminate against any carrier, individual, or business
  • Use automated tools, scripts, or bots to bulk-access the Service beyond normal usage patterns
  • Represent Intelligence outputs as official FMCSA ratings, government data products, or certified assessments

11. Confidentiality and Reports

Assessment results, risk scores, AI-generated summaries, and PDF reports are provided for your internal business use. You may share reports with colleagues, partners, or clients as part of your normal business operations, but you may not publicly post, publish, or distribute them in a manner intended to harm the reputation of any assessed carrier or that misrepresents the nature of the assessment.

12. Intellectual Property

The risk scoring methodology, AI analysis prompts, proprietary algorithms, and all other non-public components of Intelligence are owned by CarrierBook and protected by intellectual property laws. FMCSA and DOT data displayed through the Service is public information sourced from government databases. You may not reverse-engineer, decompile, or attempt to extract the underlying scoring logic or AI prompts.

13. Disclaimer of Warranties

INTELLIGENCE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT RISK SCORES WILL BE ACCURATE, THAT ASSESSMENTS WILL BE ERROR-FREE, THAT DATA WILL BE CURRENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARRIERBOOK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, BUSINESS OPPORTUNITIES, OR DATA ARISING FROM YOUR USE OF INTELLIGENCE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO INTELLIGENCE SHALL NOT EXCEED THE AMOUNT YOU PAID TO CARRIERBOOK FOR INTELLIGENCE CREDITS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless CarrierBook, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of Intelligence, any decisions made based on Intelligence outputs, violation of these Intelligence Terms, or infringement of any third-party rights.

16. Termination

We may suspend or terminate your access to Intelligence at any time for violation of these Terms. Upon termination for cause, unused credits are not refunded. If we discontinue the Intelligence service entirely, we will provide reasonable notice and refund the value of unused credits at our discretion.

17. Governing Law

These Intelligence Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Delaware.

18. Relationship to General Terms

These Intelligence Terms supplement and are incorporated into our general Terms of Service. Together with our Privacy Policy, they constitute the complete agreement between you and CarrierBook regarding your use of Intelligence. Where these Intelligence Terms conflict with the general Terms of Service, these Intelligence Terms shall control with respect to Intelligence features and services.
